Karen primarily assists clients with drafting and negotiating commercial agreements such as for the supply of goods and services, licensing of intellectual property rights, the appointment of distributors and commercial agents, and entry into collaborative or joint venture arrangements.
She has vast experience advising on contracts with an IT angle. She also advises clients on their day to day trading arrangements, including on the impact of relevant regulation such as consumer, data protection and e-commerce regulation.
Karen also works with clients on debt finance, shareholder arrangements, and the sale/purchase of private companies.
Work highlights include:
- Advising a power plant on its contractual documentation for the purchase of renewable fuels, including overhauling its standard documentation and preparing a “toolkit” of documents, clauses and standard letters for use in managing those contracts, and delivering training on their use to staff.
- Negotiating several significant long-term contracts for a provider of residential property management services with institutional owners of property portfolios.
- Negotiating IT development, licence and support arrangements for a provider of community digital communications solutions.
