Ben has expertise in a wide range of corporate matters, working closely with business and individual clients.
His specialisms include the sale and purchase of companies and businesses (both third party sales and MBO’s) as well as group restructuring (share buybacks and capital reductions). He also works with clients on share option schemes including EMI schemes and SEIS and EIS funding arrangements. Other areas of expertise include CIBILS loans, funding, equity investment and shareholders agreements.
Ben’s clients operate both locally and nationally and range from pharmacies and GP surgeries to technology companies to heavy industry.
He has also acted in relation to insolvency work, both acting for a buyer from an administrator and acting for the administrator on the disposal of assets.
Work highlights include:
- working on the sale of a company running several pig farm businesses to an AIM listed company for over £12m.
- advising on the purchase of a pharmacy group for over £6m.
- overseeing the succession planning and managing shareholder cash-out allowing the next generation to take control of the running of the company. This also included a bank refinance of £5m.
In a voluntary capacity, Ben is a trustee to several discretionary settlements.
