The New Companies Act - Capital Maintenance: Making Transactions Easier?
The seminar should be of interest to professionals (eg chartered accountants and taxation practitioners) and company secretaries or other persons engaged in the administration of bodies corporate, and who become involved in the "streamlining" or "restructuring" of groups.
The seminar considers:
- Deregulation, so far as share capital is concerned
- The abolition of "financial assistance", and the disciplines being adopted in its place (including the lending banks' position)
- The new regimes regarding reduction of capital and distributions in kind/specie, and how these make easier, and open new avenues for, intra group reorganisations.
The seminar includes two case studies considering the implication of these issues in an MBO and an MBI context.
